Design Terms

Epic Digital Solutions, Inc. Design Terms Agreement
This Design Terms Agreement ("Agreement") is made between Epic Digital Solutions, Inc. ("Designer") and the undersigned client ("Client") effective as of the date the design fee is paid by the Client. By paying the design fee, the Client agrees to the following terms and conditions:

1. Scope of Work
The design fee covers up to 7 hours of design work and includes 2 design reviews of 30 minutes each.

Any design work exceeding the initial 7 hours will be billed at a rate of $125 per hour.

2. Non-Responsiveness
The Designer is not liable for any delays or issues arising from the Client's failure to respond to communications or provide necessary feedback in a timely manner.

3. Payment Terms
The design fee is a non-refundable charge and is required upfront before any design work commences.

4. Additional Costs
Any additional charges incurred for royalty images or other materials required for the website design will be paid by the Client.

5. Website Hosting
To push the website live, the Client must select one of the Designer's website hosting packages.

The completed website cannot be hosted on any other provider.

If the Client chooses an annual hosting plan, they will not be refunded if they cancel their website before the end of the year.

6. Project Timeline
The project timeline is estimated to be about one week but may vary depending on the Client's responsiveness and the scope of work.

7. Intellectual Property Rights
Ownership of the website design, code, and content created by the Designer will be transferred to the Client upon full payment of all fees. The Designer retains the right to use the work for promotional purposes.

8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project.

9. Revisions and Approvals
The Client is entitled to 2 design reviews of 30 minutes each for revisions. All requests must be submitted within the agreed timeframe. Delays in approval may impact the project timeline.

10. Termination Clause
Either party may terminate this Agreement with written notice if the other party breaches any material term. The Client remains responsible for payment of all completed work and any additional costs incurred up to the date of termination.

11. Dispute Resolution
Any disputes arising under this Agreement will be resolved through mediation or arbitration before pursuing legal action.

12. Limitation of Liability
The Designer's liability under this Agreement is limited to the amount paid by the Client for the design fee.

Indemnification
The Client agrees to indemnify and hold harmless the Designer from any claims, damages, or expenses arising out of the Client's use of the website.

By paying the design fee, the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
